1) Acceptance of these Terms

By accessing or using this website, you agree to be bound by these Terms of Service and to comply with all applicable laws. If you do not agree, do not use the site. 5) Prohibited activities

To protect platform integrity and other users, you agree not to engage in any prohibited activity. Prohibited activities include, without limitation:

• Reverse engineering, decompiling, or attempting to extract source code from any part of the site except as allowed by law.

7) Limitation of liability

To the maximum extent permitted by law, Northern DataGrid and its directors, officers, employees, contractors, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, business interruption, or reputational harm, arising out of or related to your use of the site.

To the maximum extent permitted by law, our total direct liability for any claim arising out of or relating to these Terms or the site will be limited to the amount you paid to us in the 12 months prior to the event giving rise to the claim, or 100 EUR, whichever is lower. If you have not paid us any amount, the cap will apply as 100 EUR (or the equivalent in Canadian dollars as determined at the time of judgment).

Some jurisdictions do not allow certain limitations of liability. In such cases, the limitations will apply to the fullest extent permitted in your jurisdiction.

8) Indemnification

You agree to indemnify, defend, and hold harmless Northern DataGrid and its directors, officers, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or related to: (a) your use of the site; (b) your violation of these Terms; (c) your violation of any law or regulation; or (d) your infringement of any third party right.

10) Privacy and cookies

11) Governing law and dispute resolution

Governing law: these Terms and any dispute arising out of or related to the site will be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law rules.

Exclusive jurisdiction: subject to the informal resolution process below, you agree that the courts located in Toronto, Ontario will have exclusive jurisdiction over any dispute, claim, or controversy arising out of or relating to these Terms or the site.

12) Termination

We may suspend or terminate your access to the site at any time, with or without notice, if we reasonably believe you have violated these Terms, created risk for other users, attempted unauthorized access, or interfered with site operations. Upon termination, your right to use the site will cease immediately. Sections intended to survive termination will survive, including Intellectual property, Disclaimer of warranties, Limitation of liability, Indemnification, Governing law and disputes, and any other provisions that by their nature should survive.

13) Modifications to these Terms

We may update these Terms from time to time to reflect changes to the site or legal requirements. Changes become effective 14 days after we post the updated Terms on this page. If you continue to use the site after the effective date, you agree to the updated Terms.
